CONCLUSION OF CONTRACTS
CONDITIONS OF BOOKING OF SERVICES AND SETTLEMENS OF PAYMENTS
.. Tourist services, including accommodation, meals treatment and other additional services are provided to the Agency under condition of their preliminary booking and full payment.
.. For booking the Agency shall send to THE SEASONS HOTEL the written request with seal and the signature of the Agency, containing the following data:
The name of the company, its legal address and bank details;
First name, middle initial, last name of tourists;
Quantity of adults and children;
Date and time of arrival;
Date and time of departure;
A category of the room;
Conditions of accommodation (single, double);
Meals;
Other additional services (medical treatment, transfer, excursion service, etc.).
.. After receipt of the request and availability of rooms THE SEASONS HOTEL issues an invoice for payment of booked services in full amount.
.. After receipt of 20% of payment for booked services THE SEASONS HOTEL confirms the request and guarantees its accomplishment in corresponding period the rest of money 80% should be remitted in 2 days after departure of group.
.. In case of cancellation of the request between 7 till 3 days before arrival, in full or in part, in case of rescheduling of terms of arrival, the sum of payment per night is not reimbursed to the Agency.
.. In case of cancellation of the request less than 3 days before the arrival, in full or in part, in case of rescheduling of terms of arrival, or no-show, the full sum of payment is not reimbursed to the Agency.
.. In case of failure to pay for the request before arrival of clients, THE SEASONS HOTEL has the right to renounce in granting the ordered services
.. Accommodation and payment is carried out according to system of uniform checkout time, i.e. 12 o'clock in the afternoon on local time. In case groups leave the hotel after check-out time, the THE SEASONS HOTEL shall provide hospitality rooms (per each persons) if the possibility affords.
.. In case the number of clients arrived exceeds the agreed upon number, THE SEASONS HOTEL does not guarantee granting additional quantity of beds and will give them only if vacant rooms are available and after additional payment at the reception according to the price-list.
.. Prolongation of stay in places of accommodation over the confirmed term of stay is carried out only at presence of vacant rooms and after additional payment at the reception according to the price-list.
.. The prices for services are determined in the Appendix ¹, which is an integral part of the present contract.
.. All additional services which have been not specified in the application accepted to realization and ordered by the Agency or the client are paid in addition.
.. Every three months THE SEASONS HOTEL makes the act of the performed services. Two copies of the act certified by the signature and seal, are sent to the address of the Agency. At absence of objections from the Agency one copy of the act with the signature and a seal of the Agency is sent back to the THE SEASONS HOTEL address by fax and mail. In case of disagreement, objections should be sent to THE SEASONS HOTEL in writing by fax and mail in days term from the moment of reception of the act.
.. All taxes and dues connected with the fulfillment of the present Contract on the territory of the Ukraine shall be paid by THE SEASONS HOTEL, and on the territory of the other countries shall be paid by the Agency, bank's fee for bank money transfer included.
THE RESPONSIBILITY OF THE PARTIES
.. The Agency bears the responsibility for duly application, cancellation of the ordered services, payment of cost of services, for accuracy, reliability and completeness of informing of clients, registration of necessary documents and compensates all losses to the clients which have arisen owing to their unfair informing.
.. For infringement of terms of payment for actually given services, according to the paragraph __ The Agency pays penal sanctions to the basic sum at the rate of 3% annual per every day of delay.
.. In case the Agency sells services without confirmation from THE SEASONS HOTEL, THE SEASONS HOTEL does not provide accommodation and services to the clients and does not bear any responsibility before them.
.. For infringement of terms of payment for actually given services more than days the Agency pays fee at a rate of , % per every day of delay.
FORCE-MAJEUR CIRCUMSTANCES
.. The parties are released, in part or completely, from performance of any obligations under the given contract if the impossibility of their performance is connected to force-majeur circumstances to which concern: flooding, earthquakes, epidemics, fires, explosions, military actions, mass disorders, strikes, both other acts of nature and unforeseen situations, acceptance by the government or management the decision which has entailed behind self impossibility of performance of the present contract.
.. The debts which have arisen at the moment of force-majeur circumstances, the parties reimburse at final mutual calculation of results.
HOTEL ACCOMMODATION
.. Tourists are provided accommodation in the hotel within the dates agreed in the request, at receipt of payment for the allocated rooms.
.. Tourists who arrived with delay, terms of stay are not restored, term of accommodation is not prolonged, dates of departure are not changed.
.. For the unused services, for tourists who left ahead of schedule, and also in case of delayed arrival, irrespective on the reasons, costs of the unused services are not reimbursed to the Agency.
.. On arrival of children together with parents, without payment, they are provided an additional bed (folding bed) in the room with parents after payment at the reception according to the official price-list for the third person.
.. In case tourists avail yourself of all or the separate prepaid services, recalculation of the price is not made.
.. THE SEASONS HOTEL does not bear the responsibility for safety of money and the values left in rooms.
OTHER CONDITIONS
.. Disputes arising on the present contract between the Parties are resolved by negotiations or the reference to the Economic court of the AR of Crimea which arbitrate dispute according to the legislation of Ukraine.
.. The present Contract is made to order and interpreted according to the legislation of Ukraine. In all the rest, which is not stipulated by the present Contract, the Parties are guided by the current legislation of Ukraine.
.. The Parties have come to an agreement that additional agreements, acts and other documents made in implementation and/or in connection with the present Contract, sent with use of facsimile communication or E-mail will have for the Parties full force and generate legal consequences provided that the specified documents will be signed and sealed by the Parties. Originals of the documents sent by facsimile or E-mail the sending Party transfers the receiving Party through the representative, by post, the courier or a different way providing appropriate delivery.
.. All changes and additions to the present contract will be considered valid if they are made in writing, signed by both Parties and are made out as Appendices, Additional agreements to the contract.
ADDITIONAL CONDITIONS
.. The present Contract, including Appendices, is made in duplicate, signed by two "Parties and has an identical validity. The contract inures from the moment of signing and operates until ____________
.. The Parties reserve the right to terminate the present Contract in advance on objective causes. In this case the initiative Party shall give the other Party no later than days prior to the expected date of termination of the Contract a written notice by registered mail for termination of the Contract indicating the reasons for such a decision. The other Party has to confirm the receipt of the notification within days.
.. Regarding financial mutual relations between the Parties the present Contract keeps the force until full payments are fulfilled about what the final act is made.
.. Any additions and changes of the present Contract are valid, if they are executed in writing and signed by Parties. Proposed offers are examined in a month period.
